What is it?

The Certificate of Amendment (Form 424) changes what your LLC's Certificate of Formation says: members or managers listed there, the name or the management structure. The state charges $150. If the new member isn't listed on the certificate, sometimes updating the Operating Agreement is enough: we tell you which one you need.

Who needs it?

  • Add or remove a member or manager
  • Change the LLC's name
  • Switch between member-managed and manager-managed

How we do it

  1. Tell us what you want to change and the new people's details.
  2. We prepare Form 424 and send it to you to review.
  3. We file it with the Secretary of State.
  4. We send you the approved certificate and tell you if the IRS or your USDOT also needs updating.

What do you want to change?

If the name or owner changes, the IRS also has to be notified and your USDOT (MCS-150) updated. We'll tell you what applies.

PDF, photos, Word or Excel. Up to 10 files, 10 MB each. You can take a photo with your phone. If you don't have them now, we'll ask later.

What happens if it's not up to date?

  • If you operate under your own name, a lawsuit or crash can reach your home, car and savings.
  • Many brokers and insurers prefer working with a formed company.
