What is it?

The Operating Agreement is the contract between your LLC's members: who owns what percentage and who makes decisions. It's not filed with the state, but banks and members ask for it.

Who needs it?

  • A member joins or leaves
  • Percentages change
  • Your LLC never had one

How we do it

  1. Give us the members, their percentages and what changes.
  2. We prepare the updated Operating Agreement.
  3. You review it and the members sign.
  4. We send you the final copy.

What happens if it's not up to date?

  • If you operate under your own name, a lawsuit or crash can reach your home, car and savings.
  • Many brokers and insurers prefer working with a formed company.

Frequently asked questions

What does the state charge?

$300 for the Certificate of Formation. It's charged separately and shown in the summary before you pay.

What is a registered agent?

The person or company with a physical Texas address who receives legal papers for your LLC. It can be you or someone you name; you give us their name and address on the form.

Do I have to pay franchise tax?

Most Texas LLCs have annual obligations with the Comptroller, usually due May 15. Which report you file and whether you owe tax depends on your revenue and the current rules; we review your case.
